Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (the “Agreement”) is made and entered into as of the December 24, 2024, by and between:

1. Confidential Information

All information, including documents, files, specifications, business data, or any material submitted by the User, will be deemed "Confidential Information" under this Agreement. This information will not be disclosed, shared, or used outside of Company's internal teams, solely for the purpose of evaluating or providing services as requested by the User.

2. Obligations of Confidentiality

The Company agrees to keep all Confidential Information submitted by the User secure and to protect it from unauthorized disclosure to any third party. The Company further agrees to restrict access to Confidential Information to only those employees or contractors who need to know the information to provide the services requested.

3. Exclusions from Confidential Information

Confidential Information does not include information that:

• Is or becomes publicly available without breach of this Agreement by the Receiving Party.
• Is already known to the Receiving Party at the time of disclosure.
• Is received from a third party without a breach of any obligation of confidentiality.
• Is independently developed by the Receiving Party without the use of or reference to the Disclosing Party's Confidential Information.

4. Term

This Agreement shall commence on the December 24, 2024 and continue for a period of one (1) year unless terminated earlier by either party with thirty (30) days written notice to the other party.

5. Return of Materials

Upon termination of the business relationship or upon the User's request, the Company agrees to promptly return or securely destroy all materials containing the User's Confidential Information. This includes notes, copies, and electronic files.

If retention of any Confidential Information is required by law, the Company will inform the User in writing and maintain confidentiality as per this Agreement.

6. No License

Nothing in this Agreement shall be construed as granting any rights to the Receiving Party under any patent, copyright, or other intellectual property right of the Disclosing Party except as expressly provided herein.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Punjab / India.

8. Miscellaneous

• This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements or understandings.
• This Agreement may not be amended or modified except in writing signed by both parties.
• If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
